ACCEPTANCE

This document (hereinafter, the "Agreement") sets forth the terms and conditions of Sinergia 24, located at Carr. Federal México-Texcoco km. 19.5, Los Reyes, 56400 Mexico City, Mexico, which shall apply to the User's access and use of this website (the "Website"). Please read this Agreement carefully.

By accessing, viewing or using the Online Store, Users ("you", "you", "User", or "user") agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to be bound by these terms and conditions, you may not access or use the Online Store.

Mufyp S.A. de C.V. (collectively, "MUFYP") reserves the right to update this Agreement whenever it deems appropriate. Consequently, we recommend the User to periodically review the modifications made to the Agreement.

The Online Store is directed exclusively to persons residing in Mexico. Users residing or domiciled in another country who wish to access and use the Online Store do so at their own risk and responsibility, and must ensure that such access and/or use complies with the applicable laws of their country.

USER REQUIREMENTS

The Online Store and related services are offered to Users who have the legal capacity to enter into legally binding contracts under applicable law.

Minors are not authorized to use the Online Store. If you are a minor, please do not use this site.

LICENSE

In this act, MUFYP grants the User a limited, non-exclusive, non-transferable, non-assignable and revocable license to consult and download, on a temporary basis, a copy of the content offered in the Online Store, solely for the User's personal use or within the User's company, and never for commercial purposes.

All material displayed or offered on the Online Store, including but not limited to artwork, documents, text, images, sound, video, audio, illustrations, software and HTML code (collectively, the "Content"), is the exclusive property of MUFYP or the companies providing such material.

The Content is protected by Mexican, U.S. and international copyright laws, as well as other applicable intellectual property rights laws, regulations and standards. Except as otherwise expressly provided in this agreement, and/or unless otherwise expressly permitted by law, the User may not (i) use, copy, modify, display, display, remove, distribute, download, store, reproduce, transmit, publish, sell, resell, adapt, reverse engineer or create derivative works from, the Content. Nor may you (ii) use the Content on other Web sites or in any media, such as in a networked environment, without MUFYP's prior written permission to do so.

All trademarks, service marks and logos ("Marks") displayed on the Online Store are the exclusive property of MUFYP and/or their respective owners.

The User may not use the Marks in any way without the prior written permission of MUFYP and the respective owners.

INFORMATION PROVIDED BY THE USER

The Online Store provides the User with a forum catalog of stainless steel, wood and mixed furniture and equipment with their general characteristics, measurements, specifications and prices. By providing or entering information in the Online Store ("User Information"), the User grants MUFYP a permanent, non-exclusive, irrevocable, royalty-free license and right, for the maximum time permitted by applicable law, but imposes no obligation to, use, copy, modify, display, distribute, download, store, reproduce, transmit, publish, sell, resell, adapt or create derivative products in whole or in part from, the User Information, in any manner or form. User acknowledges and agrees that MUFYP is only a passive forum through which users may advertise their businesses or learn about other businesses. MUFYP does not check or control User Information. Accordingly, MUFYP assumes no warranty as to the reliability, accuracy, completeness, validity or truthfulness of the Information submitted by Users.

MUFYP reserves the right, at its sole discretion, to delete, remove, refuse to reflect or block any User Information that MUFYP deems unacceptable. In the event that MUFYP receives any notice of the unacceptability of certain information provided by Users, MUFYP may, in its sole discretion, investigate such information.

The User assumes and agrees that MUFYP may retain copies of the User Information, and disclose such information to third parties as MUFYP deems necessary to:

(i) protect the integrity of the Online Store;

(ii) to protect the rights of MUFYP;

(iii) to comply with a court order;

(iv) to comply with any legal formalities;

(v) to enforce MUFYP's rights and remedies under this Agreement; and

(vi) satisfy any request relating to the infringement of third party rights.

GENERAL PROHIBITION

By accessing and using the Online Store, the User agrees NOT to:

(a) failing to comply with all applicable local, state, provincial, national (Mexico) laws, regulations and standards, as well as any other applicable laws such as laws against employment discrimination or equal employment opportunity laws, where applicable;

(b) infringe the intellectual property and privacy rights, including, but not limited to, copyright, database rights, trademarks or know-how of third parties;

(c) downloading, sending, transmitting or storing material that:

• is unlawful, offensive, defamatory, libelous, fraudulent, deceptive, misleading, harmful, threatening, harassing, obscene or objectionable;
• violates the User's contractual or confidentiality obligations;
• impairs or interferes with the normal operation of the Online Store, such as the delivery or transmission of viruses, worms or Trojan horses, the continued delivery of repeated material, or the delivery of unusually large files; or
• that is not permitted by MUFYP, such as unauthorized advertising material, unsolicited promotional material, "junk mail," "spam," "chain letters," pyramid direct selling messages, franchising, distribution material, club membership, sales contracts, or any other unacceptable material;

(d) violate the personal and privacy rights of third parties by abusing the Content, such as by harassing or continually annoying such persons by sending them unsolicited e-mails, or by collecting personal information;

(e) contravene, or attempt to contravene, the security measures of the Online Store;

(f) use any device, process or mechanism, such as spiders and tracking robots, to locate, retrieve, search, or access the Website or the Content, without MUFYP's prior written consent;

(g) access or attempt to access the account or login of third parties or companies listed on the Online Store;

(h) copy, modify, reproduce, delete, distribute, download, store, transmit, sell, resell, publish, reverse engineer or create derivative works from the Content, except for material submitted by the User and owned by the User, or as otherwise authorized by applicable intellectual property laws;

(i) sending or providing incorrect, false or incomplete information regarding the User's curriculum vitae, biographical data, the date he/she started working or the User's company profile;

(j) impersonate another person or company;

(k) use the Online Store in an unauthorized manner or for any criminal activity;

(l) falsifying the header information in the e-mail; or

(m) misrepresenting information about himself, his association with third parties or his company.

USE OF THE SITE AND SPECIFIC OBLIGATIONS

In addition to the general obligations set forth in Article 5, the User shall:

(a) use the Online Store solely for the legally permissible purposes of seeking employment and gathering professional information;

(b) to provide and maintain the personal data that make up the User Information in a complete, correct, updated and truthful manner;

(c) send only material for which the User has the appropriate rights or license to do so;

(d) use its own judgment, caution and common sense in handling employment opportunities and information obtained through the Online Store; and

(e) assume the risk of relying on content, or using information, provided by third parties.

ACCOUNT AND PASSWORD

When using the Online Store, the User may choose to open an account on the Site. In that case, the User will receive the appropriate virtual account number and initial password. This is the sole responsibility of the User:

(a) maintain the confidentiality of such virtual account numbers and password;

(b) frequently update and check your password; and

(c) immediately notify MUFYP if you become aware of any unauthorized use of your account or any breach of security measures.

OF THE PAYMENT GATEWAY

MUFYP, hereby informs you that the online payment gateway is operated by the company Openpay (www.openpay.mx), so that your electronic banking transactions are duly protected as it is a company that is part of BBVA Group with solid experience in digital banking transactional security.

LINKS TO THIRD PARTY WEBSITES

The Online Store may contain links, such as hyperlinks or hyperlinks, which indicate access to third party web pages (the "Related Sites"). Although MUFYP reviews third party material and only permits the inclusion of Related Sites that, to the best of its knowledge, do not violate applicable law, MUFYP cannot control or monitor the Related Sites and, accordingly, will not assume any responsibility for the accuracy, safety or reliability of the material, information or content included in such Related Sites.

The inclusion of the Related Sites on the Online Store does not imply any relationship or association between MUFYP and the owner of the Related Sites, or any endorsement or promotion by MUFYP of such Related Sites. MUFYP reserves the right to remove from its Web Site any Related Sites that it has actual knowledge are infringing third party rights and/or whose content violates applicable law, or if required to do so by a court order or administrative regulation.

Links to our website are not permitted without the express prior written authorization of MUFYP. The User may not, either alone or in collaboration with others, expand, modify, replace, amend or limit, in whole or in part, the information provided on our website or the functional applications thereof. Furthermore, the User may not, either alone or in collaboration with others, create or install links from its own website or from third party websites, to this website (whether by hypertext links, deep-linking, framing, code or otherwise), either in whole or in part, without the prior written consent of MUFYP in this regard.

MUFYP will process all personal information that the User enters or provides through our Website in accordance with MUFYP's Privacy Policy.

What are cookies?

The User agrees to indemnify, defend and hold harmless MUFYP, the parent company and its subsidiaries and affiliates, as well as their officers, directors, agents and employees, from and against any claims by third parties (including, without limitation, attorneys' fees and court costs) based on or arising out of the User's access to the Website and the User's use of the Website, the Information provided by the User, the Information provided by the User, and the use of the Website by the User, including, but not limited to, attorneys' fees and court costs) based on or arising out of the User's access to and use of the Web Site, the Information provided by the User, or the User's breach of the terms and conditions of this agreement.

DISCLAIMER

THE USER ACKNOWLEDGES AND AGREES THAT:

(A) THE USER ASSUMES ALL RISKS RELATING TO OR ARISING OUT OF THE USER'S USE OF OR ACCESS TO THE WEB SITE. THE ONLINE STORE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND;

THE USER ALSO AGREES TO HOLD HARMLESS RH, THE PARENT COMPANY AND ITS SUBSIDIARIES AND AFFILIATES, AS WELL AS THE DIRECTORS, OFFICERS, SALES REPRESENTATIVES AND EMPLOYEES OF ALL OF THEM, AGAINST ANY CLAIMS, DEMANDS OR CLAIMS FOR DAMAGES (DIRECT, INDIRECT AND CONSEQUENTIAL) OF ANY KIND, WHETHER DIRECT, INDIRECT OR CONSEQUENTIAL) OF RH, ITS SUBSIDIARIES AND AFFILIATES, AS WELL AS THE DIRECTORS, OFFICERS, SALES REPRESENTATIVES AND EMPLOYEES OF ALL OF THEM, AGAINST ANY CLAIMS, DEMANDS OR CLAIMS FOR DAMAGES (DIRECT, INDIRECT AND CONSEQUENTIAL) OF ANY KIND, WHETHER DIRECT, INDIRECT OR CONSEQUENTIAL, INDIRECT AND CONSEQUENTIAL DAMAGES) OF ANY KIND, KNOWN OR UNKNOWN, THAT MAY BE ASSERTED BASED ON OR ARISING OUT OF THE USE OF THE ONLINE STORE, THE INFORMATION PROVIDED BY THE USER OR THE TRANSACTIONS THAT OCCUR AS A RESULT OF THE USER'S USE OF THE ONLINE STORE.

IN THE EVENT THAT ANY JURISDICTION PROHIBITS THE EXCLUSION OF CERTAIN WARRANTIES, LIMITATION OF LIABILITY OR DISCLAIMER OF LIABILITY WITH RESPECT TO CERTAIN DAMAGES, RH'S AGGREGATE LIABILITY FOR DAMAGES SHALL NOT EXCEED USD$10.00 (TEN UNITED STATES DOLLARS), IF PERMITTED BY APPLICABLE LAW.

IN ANY EVENT, THE FOREGOING LIMITATION OF LIABILITY SHALL NOT APPLY TO CONSUMERS OR IN RESPECT OF DAMAGE CAUSED BY INTENT OR GROSS NEGLIGENCE.

RESCISSION

MUFYP may, in its sole discretion, terminate the services offered on its Website and remove any content from the Website. MUFYP may also, at any time, for any reason or no reason and without having to give advance notice of its decision, suspend the User's access to any or all of the services offered in the Online Store. In the event that the User decides to terminate his or her account, he or she shall cease accessing and no longer using the Online Store. MUFYP shall have no obligation whatsoever to maintain or return the Information provided by the User, his/her account, virtual account number and password. The User shall always have a copy of the Information provided by him/her.

GENERAL

The User declares that there is no employment, partnership, agency or joint venture relationship between him/her and MUFYP, derived from the access and use of the Online Store.

This Agreement integrates all agreements that the User and MUFYP have entered into in connection with access to and use of the Online Store, and is made in addition to any binding agreements that may exist between the User and MUFYP.

This Agreement shall be governed and interpreted by Mexican law and the User submits to the exclusive jurisdiction of the courts of Mexico City.

If the User consults, accesses, sends information or downloads material from the Online Store from outside of Mexico, the User is solely responsible for its actions and assumes all risks. The User may not use or export the Content of the Online Store or make any copy or adaptation in violation of any applicable laws, regulations or rules, including but not limited to U.S. export laws and regulations.

The failure of either party to exercise at any time or delay in exercising its rights and remedies under this Agreement shall not be construed as a waiver of such rights and remedies.

The invalidity or unenforceability of any of these terms and conditions - in whole or in part - or of the rights derived from this Agreement, shall not affect the validity or enforceability of the other rights, terms and conditions, or the remainder of the provision in question, which shall continue in full force and effect, excluding only the vitiated clause (or the part that is invalidated in such clause).

Articles 4, 6, 10, 12, 13, 14 and 15 of this Agreement shall survive termination of this Agreement for any reason.
